Senior Corporate Counsel, Global Public Sector Legal, Ethics & Compliance

Location: This position can be remote, or aligned to one of our ServiceNow offices.

We are seeking an outstanding Senior Corporate Counsel with 10+ years of public procurement law experience to join our Global Public Sector Legal, Ethics & Compliance team. The successful candidate will report to the Head of Global Public Sector Legal, Ethics & Compliance (located in Vienna, VA). The position requires a team player who can provide careful work product with minimal supervision in a very fast-paced, high-energy environment.

Role, Responsibilities, and Experience:

  • Responsible for primary government contract legal and compliance support to the Americas Region public sector businesses.

  • Knowledge and mastery of US government contract laws, regulations, and procedures at the federal, state and local level with experience in (or the ability to learn) other public procurement legal regimes in North and South America jurisdictions.

  • General overall understanding of public procurement law regimes, regulations, and tender processes with the ability to interpret specific rules in various jurisdictions such as Canada, Brazil, Mexico, and other emerging North and South America markets with local outside counsel assistance, as necessary

  • Extensive experience counseling clients on government contract formation and administration matters with a particular focus on the sale and provisioning of commercial cloud products and services to public sector and state-owned entities

  • A good understanding of the rights and obligations of entities bidding into the public sector and regulated entities whether as a prime contractor or lower-tier subcontractor and, in particular, an awareness of the processes for formal complaint and challenge (including routes for this and timescales)

  • Development of internal corporate policies and procedures for implementation of North and South American country federal, state, local, provincial government, and state-owned entity legal & compliance requirements. Specific subject matter expertise in areas including but not limited to: public contract formation and administration (both as a prime contractor and lower-tier subcontractor), fair and open competition, anti-bribery & corruption, organizational conflicts of interest, marketing activities (e.g., gifts and gratuities), hiring of current and former public sector officials (“revolving door rules”), procurement integrity, data sovereignity, Industrial Security and classified contracting, supply chain security & data security, disputes and claims, and alliance & channel partner programming.

  • Stay up to date on relevant public procurement legal frameworks, laws, regulations, draft legislation, and proposed rules pertaining to public procurement and providing counsel on impact of the same to the public sector business

  • Serve as subject matter expert for public tender offers & responses to requests for proposals (RFPs), and assist commercial contract negotiations, representations, and certifications, as necessary

  • Identify contractual risks and issues and suggest alternatives (working with local counsel as necessary) that lead to optimal solutions

  • Provide counsel, training, and enablement to the public sector sales, professional services, solutions consulting, engineering, product, security, and support functions for the North and South America public sector businesses

  • Must possess a good foundational degree from a respected University together with professional legal qualification to practice as an in-house attorney in the United States

  • 12+ years of experience counseling commercial product and services companies operating as government contractors with a strong preference for candidates familiar with the cloud services, software, and professional services industries

  • Ability to understand complex compliance issues, assess risk, and provide concise business-focused legal advice

  • Self-motivated, with the ability to manage and regularly prioritize workload to meet deadlines and adjust to fluctuations in workload

  • Possesses a practical, real world, collaborative approach to problem solving in the context of enterprise sales for a global cloud service provider with the ability to make sound decisions and exercise good judgment

  • Ability to remain flexible in a changing business environment.

  • Excellent oral and written communication skills.

  • Familiarity with selling via a channel (distributors, resellers, consulting & implementation providers) and related public sector compliance issues

  • Common sense, great judgment, and a good sense of humor
