Rapid Micro Biosystems General Counsel in Lowell, Massachusetts

The General Counsel will be responsible for developing and executing global strategic legal initiatives. S/he will provide the senior management with effective legal advice on company strategies and their implementation, manage the internal legal function, and manage all outside counsel relationships and workstreams. The General Counsel will be directly involved in complex business transactions and critical contractual negotiations. S/he will ensure legal compliance globally. The General Counsel will be a team player who works with multiple key functions throughout the global organization. S/he will serve as Secretary of the company and play a lead role in board administration activities.

The General Counsel position requires an exceptionally accomplished attorney with a distinguished professional record, demonstrated leadership skill, and a strong business orientation. Candidates must be self- motivated and exhibit a passion for understanding the company?s business and contributing in a meaningful way to its long-term strategic goals. In addition to possessing the requisite legal and technical skills, the successful candidate must approach this role with a commercial focus, demonstrating a high degree of business savvy and strategic thinking capabilities. Proven leadership ability, including the ability to lead a team and manage the work of others, is required, as is exceptional judgment, gravitas, executive presence, and maturity.

KEY RESPONSIBILITIES:

  • Provide advice and counsel to key stakeholders on a variety of corporate, commercial and contract issues, and on Federal, State, and international regulatory issues that apply to the Company?s products and business.

  • Facilitate essential business transactions by consulting, negotiating, and drafting commercial agreements.

  • Advise management on legal risks inherent in proposed contractual arrangements and transactions and devise practical, business-oriented alternatives to reduce risks.

  • Develop the legal function with a focus on organizational efficiency and professional development. Manage, monitor, and coordinate the activities of in-house legal staff and outside legal services to ensure work meets the company?s requirements.

  • Provide support for a potential future initial public offering and manage SEC compliance, disclosure and reporting in the event such an offering is successfully undertaken.

  • Provide support for new business opportunities by advising, drafting, and negotiating complex transactions including, corporate acquisitions, divestitures and, joint ventures agreements as well as conducting due diligence.

  • Provide expertise and support to the Board of Directors and Board Committees on matters related to corporate governance.

  • Develop relevant operating procedures and ensure comprehensive management and satisfaction of the company?s compliance and regulatory obligations.

  • Be the champion of the company code of conduct and all matters pertaining to compliance.

  • Assume responsibility for ensuring the company conducts business in compliance with all applicable laws and regulations on a global basis.

  • Manage relationships with outside counsel and act on behalf of the Company in both the defense and prosecution of lawsuits.

  • Provide support to Human Resources on employment and labor matters, including the draft and review of policies, procedures, employee relations, GDPR and compliance matters.

Experience and Education:

  • Juris Doctorate (J.D.) degree from a nationally recognized law school and active admission to practice law.

  • Minimum of 15 years of legal experience as a corporate attorney, which should include top law firm and in-house experience, ideally including several years as a General Counsel at a public company, or experience as Deputy General Counsel (or other legal #2) at a public company.

  • Overall broad legal knowledge, including corporate transactions and securities, litigation, labor, and employment law, etc.

  • Significant corporate, securities and international experience.

  • Experience working on complex transactions including mergers and acquisitions.

  • Experience working on matters of corporate governance and with a board of directors.

  • Experience managing outside attorneys.

  • Experience building and managing internal legal teams.

  • Experience drafting complex legal agreements working on a global basis.

  • Experience at a manufacturing company is preferred, outstanding candidates from other industries (software/internet and biotech, for example) will be considered.

  • Familiarity with regulatory regimes applicable to the pharmaceutical industry is a plus.
