Role Summary/Purpose

The Senior Counsel, Legal Entity Governance will be responsible for providing wing-to-wing corporate governance support and advice in relation to GE Vernova entities and branches in the region for which the role is responsible. The role will report into the Executive Counsel, Legal Entity Governance and will be part of the new GE Vernova Global Law & Policy Headquarters team.

Essential Responsibilities

  • Advise and support transformation, simplification, and transition activity in relation to legal entity governance, leading up to and following the spin of GE Vernova

  • Provide legal advice on structuring of internal transactions (contributions, assignments, M&A activity, internal sales etc.)

  • Act as general advisor to certain GE entities with an international scope operating from the role’s region, focusing on legal risk management at the legal entity level and coordination between the boards of directors, GE Vernova HQ and the GE Vernova business units

  • Partner with Treasury, Tax, Controllership and other functions on the planning and execution of company-wide initiatives and projects in relation to legal entities and in particular legal entity simplification.

  • Maintain records of authorized signatories and coordinate relevant approvals and general advisory support on legal entity form

  • Prepare guidelines regarding scope of POAs/DOAs and any associated general support needed leveraging the technology and tools available.

  • Coordinate legal deliverables and due diligence including in connection with internal and external audits

  • Perform filings necessary to keep entity in good standing in place of incorporation and where entity has right to do business

  • Obtain and maintain any licensing where legal entity is the applicant

  • Where required, serve as corporate secretary of multiple entities with responsibility for organizing board meetings, setting agendas, and taking minutes

  • Support the Business Development teams with formation, acquisition or disposal of entities

  • Provide legal opinions and certificates in relation to legal entity execution validity for commercial and internal transactions

  • Provide other legal advice relating to the legal entities in the role’s region including corporate governance, intercompany services, corporate bankruptcy, and regulatory licensing

  • As required by the Executive Counsel, Legal Entity Governance lead team and functional projects and initiatives to deliver on the formation and ongoing objectives of the Legal Entity governance team

  • Transition, maintain and where possible build upon the tools and information developed during the GE Vernova Separation including the inventory of permits, licenses and regulation.

  • Create training materials, guidelines, policies, and procedures surrounding governance of legal entities, training of directors and officers, and governance of joint ventures

  • Manage overall legal budget for legal entity governance in region, including all outside counsel spend

Qualifications/Requirements

  • J.D. or equivalent law degree from a recognized international institution 

  • In the U.S., must be a member in good standing of one or more state bars or the D.C. bar and where required, in house counsel registration or admission to the local state bar. Outside the U.S., consistent with the above, must have the local country equivalent. Significant experience in legal entity governance may be considered in lieu of this requirement.

If contracted in the United States:

The salary range for this position is 141,800.00 - 236,400.00 USD Annual. The specific salary offered to a candidate may be influenced by a variety of factors including the candidate’s experience, their education, and the work location. In addition, this position is eligible for a 15% variable incentive bonus.
