Job Description

Lead Counsel, R&D Business Development

Remote or Hybrid

OBJECTIVES/PURPOSE

  • Serve as a Lead attorney responsible for: drafting and negotiating complex business development transactions, including intellectual property licenses, divestitures, collaborations, venture investments and other transactions supporting Takeda’s global research and development functions;

  • Advise on complex global legal transactions throughout deal life cycle including alliance management;

  • Stay current and advise on emerging and existing US and ex-U.S. laws including antitrust, competition, privacy and other laws related to pharmaceutical business transactions; train and educate colleagues and team members as required

  • Identify and select specialized legal resources as needed on a transaction by transaction basis

  • Oversee and mentor junior attorneys and other legal colleagues on assigned transactions

  • Lead assigned cross-functional legal initiatives working collaboratively with other functional leaders in the organization

ACCOUNTABILITIES

  • Provide legal and strategic guidance to business development executives and other senior level leaders in the organization.

  • Independently lead all legal aspects of assigned transactions, collaborating with other legal and intellectual property colleagues as applicable

  • Draft and negotiate complex and varied legal documents including de novo provisions to address technical and scientific information

  • Identify and analyze global legal, business and reputational risks to the company and propose appropriate solutions

  • Stay current on global pharmaceutical laws and regulations, in particular, with respect to business development transactions, intellectual property licensing, antitrust and digital technologies

  • Develop a thorough understanding of and familiarity with the company’s business, code of responsibility, its people, products, markets, facilities, customers and competitors and utilize that knowledge in providing guidance and counsel to internal clients.

  • Establish a collegial rapport and working relationship with personnel at all levels

  • Identify process improvement needs and training needs within the organization and assist in the development of process improvement initiatives and the development and presentation of training materials on relevant laws and legal/business issues

  • Identify and perform special assignments or projects, as assigned

  • Demonstrate a strong commitment to ethics, patients, employee engagement, diversity and inclusion

  • Additional duties as assigned

  • May have responsibility for coaching or supervising more junior attorneys, paralegals and support staff on individual projects

DIMENSIONS AND ASPECTS

Technical/Functional (Line) Expertise

  • Proficient knowledge of research and development of innovative pharmaceutical and biological products;

  • Demonstrated pharmaceutical or biotechnology complex deal experience in the areas of platform based transactions, development and commercialization collaborations, M&A, in-licenses, out-licenses, options, financing and equity investments, etc. for a variety of therapeutic areas and product types

  • Proven independence in drafting and negotiating complex contracts in the pharmaceutical and biotech industry

  • Solid understanding of the laws and regulations of drug development and commercialization

Leadership

  • Serve as a senior legal advisor to deal teams contributing business and legal expertise/guidance

  • Maintain an enterprise view in developing and delivering legal guidance to client base

  • Lead educational sessions for legal group and company

  • Manage external counsel and associated spend for assigned projects

Decision-making and Autonomy

  • Lead business development transactions as the senior in-house counsel providing guidance to the cross-functional deal team during all aspects of the transactional process including diligence, deal terms, agreement drafting and negotiating and post-deal alliance management

  • Manage outside counsel as needed

  • Lead cross-functional/global initiatives to improve legal services in a risk appropriate manner

Interaction

  • Collaborate with legal and non legal colleagues that contribute to the company’s business development efforts

  • Represent the company as the legal representative in negotiations with external partners and potential partners

  • Collaborate on cross-functional deal teams to drive the company’s objectives in a compliant and appropriate manner

Innovation

  • Have an interest in exploring new business/legal structures to achieve business development objectives

  • Explore piloting new approaches to improve legal services in a risk appropriate way

Complexity

  • Highly experienced and skilled in drafting and negotiating complex legal documents in the pharmaceutical industry including de novo drafting of highly technical and scientific documents

  • Adeptly monitor alliances for potential disputes, advising the business and managing to resolution

  • Experience in navigating successfully in a highly matrixed global work environment

EDUCATION, BEHAVIOURAL COMPETENCIES AND SKILLS:

  • A minimum of 10 years (15 preferred) of experience in one or more of the following: law firm or in-house corporate law department with responsibility for business development transactions

  • Excellent oral and written skills, ability to effectively communicate legal issues

  • Self-motivated, strong leadership, work independently on projects, meet aggressive deadlines, handle multiple projects, technical knowledge, business acumen, and excellent communication skills;

  • Sound conflict resolution skills and ability to work in a collaborative, global environment

  • Effective decision making; proven ability to assess and calibrate and effectively communicate legal risks to senior management and others.

  • Ability to work in a highly collaborative team environment focused on a high level of client service

  • J.D.

  • Active membership and in good standing in a state bar

  • 20% travel may be required

U.S. Base Salary Range:

$205,100.00 - $322,300.00

The estimated salary range reflects an anticipated range for this position. The actual base salary offered may depend on a variety of factors, including the qualifications of the individual applicant for the position, years of relevant experience, specific and unique skills, level of education attained, certifications or other professional licenses held, and the location in which the applicant lives and/or from which they will be performing the job. The actual base salary offered will be in accordance with state or local minimum wage requirements for the job location.

U.S. based employees may be eligible for short-term and/ or long-term incentives. U.S. based employees may be eligible to participate in medical, dental, vision insurance, a 401(k) plan and company match, short-term and long-term disability coverage, basic life insurance, a tuition reimbursement program, paid volunteer time off, company holidays, and well-being benefits, among others. U.S. based employees are also eligible to receive, per calendar year, up to 80 hours of sick time, and new hires are eligible to accrue up to 120 hours of paid vacation.
