Reports to: Managing Director, Commercial Aircraft Group. Successful candidate would also closely coordinate with Transaction Management team within Banc America Leasing Ireland (BALI).
The Commercial Aircraft Group (CAG), a business unit within Global Leasing is seeking a Transaction Manager for its US aircraft leasing business. CAG’s existing aircraft portfolio includes operating lease and secured debt transactions for commercial aircraft operated by top tier carriers within the US market. The portfolio continues to grow in size and complexity and CAG is seeking an associate to support this growth.
The Transaction Manager will have responsibility for contract negotiation, execution and document compliance matters associated with the purchase, financing, sale, and leasing of commercial aircraft and other activities relating to the business. The successful candidate will be a key team member in executing on CAG’s business plan for delivering both operating leases and secured debt in commercial aircraft sector. Clients include the large US passenger and cargo air carriers.
Working with other CAG team members, liaise with clients to negotiate both new transactions and legacy portfolio transactions, and communicate and coordinate with CAG’s cross functional transaction teams including Contracts, Credit, Finance, Pricing, Legal, Tax, Insurance, Technical and other relevant disciplines;
Ensure key commercial issues are addressed both with the client as well as internally at both pricing proposal and term sheet;
Liaise with internal and external counsel to ensure that key areas of risk are addressed in transaction documentation in line with internal approvals, acceptable company standards and internal policies;
Maintain forward momentum on transactions;
Working collaboratively with Leasing stakeholders, review documentation to identify and ensure conditions precedent and post-closing deliverables are fully complied with on a timely basis;
Identify key dates and essential provisions for efficient and accurate ongoing portfolio management;
Develop excellent working relationships with peers within the global leasing group providing timely, accurate and complete communication of essential transaction data;
Collate and maintain original documents in compliance with policy, working with Contracts team;
Aircraft registration, deregistration, delivery and redelivery coordination;
Work with Operations to ensure all new transactions are correctly booked and recorded in the Bank’s systems on a timely basis, including the establishment and monitoring of special purchase vehicles,
Work closely with internal and external Agent and Security Trustees to fulfill the bank’s obligations with respect to multiple funding transactions.
Prepare a transaction summary on the financial closing of each transaction for the benefit of all internal stakeholders outlining the key transaction milestones as well as operational and booking requirements for the Bank.
Reduce operational risk through the implementation of processes and controls and continually monitor and assess the adequacy of these processes and controls.
Documentation, maintenance and compliance with client and vendor non-disclosure agreements, GTAs, service level agreements and related documentation;
Compliance with global leasing portfolio management standards for vendor management, insurances, anti-money laundering, document retention policies;
Support CAG’s third party invoicing requirements working with CAG administrative support;
Initiate DealFlo process and follow through to Closing of transaction;
Review DSR memos with other CAG team members; and
Maintenance of CAG asset management tracking database along with CAG technical rep.
Preferred/Desired Skills and Requirements:
Minimum of 4-7 years of experience in contract administration, legal or other documentation related field;
Undergraduate degree in Business or related discipline; MBA or JD a plus
Previous experience with leasing and senior debt structures, including aircraft operating leases and financing, is required;
Have commercial awareness, with strong client management and communication skills;
Excellent written, analytical, verbal and interpersonal skills;
Be a team player, with the ability to work to tight deadlines and manage concurrent activities and priorities;
Proficiency with MS Office software applications
